<![CDATA[ Corporate Attorney in , IL]]> Description:  Our client is a leading meat company, currently seeking a driven and ambitious Corporate Attorney to join their team. This is a unique opportunity for a highly motivated professional who has a go-getter attitude. 1) Negotiate and oversee the company’s contractual arrangements with third parties 2) Review and assist in negotiation of national contracts and maintain current contract files 3) Oversee the company’s compliance policies and procedures in accordance with the Securities Act of 1933 and the Securities Exchange Act of 1934, and other considerations including but not limited to CFTC, anti-money laundering and privacy regulations 4) Co-ordinate all franchise compliance documentation, including preparation of franchise document filings with state licensing agencies, preparation of default and termination letters and other related matters 5) Work closely with outside counsel, Franchise Operations and Business Development departments 6) Co-ordinate and oversee required regulatory filings 7) Work closely with the Real Estate Department in review and negotiation of restaurant leases 8) Administer and enforce insider trading and other fiduciary policies 9) Act as the main point of contact for Liquor License violations and work actively to avoid or reduce fees and penalties 10) Co-ordinate outside counsel for such matters when required 11) Co-ordinate all legal activities pertaining to protection of all intellectual property 12) Track legal issues and provide summary reports of such to senior management 13) Maintain record copies of corporate books, shareholder records, etc. 14) Attend all board of directors meetings and prepare and communicate minutes of the meetings 15) Review and approve outside counsel invoices for payment 16) Ensure compliance with all applicable legal licensure requirements and supervise License Administrator Consultant 17) Maintain licensure status and stay current with evolving legal trends through participation in professional organizations and continue legal education, especially in the area of franchise related matters 18) Act as an advisory capacity regarding general legal matters including employment, intellectual property, tax, guest complaints and other disputes 19) Co-ordinate various miscellaneous projects as needed, or as directed by Supervisor
